01The Site

The Site provides information about Northstra and the services of Northstra Health and Northstra Studio. Content on the Site is provided for general information only and does not constitute an offer to provide services on any particular terms.

02Engagements

Services are provided only under a separate written agreement, such as a proposal, statement of work, or services agreement, signed by Northstra and the client. If any provision of these Terms conflicts with such an agreement, the agreement controls. Visiting the Site, contacting us, or sending us information does not create a client relationship.

03No professional advice

Content on the Site is general in nature and is not medical, legal, regulatory, tax, accounting, or investment advice. You should not act or refrain from acting on the basis of Site content without obtaining advice from a qualified professional regarding your particular circumstances.

04Healthcare services

Northstra Health is not a healthcare provider, pharmacy, outsourcing facility, clinical research site, sponsor, or contract research organization. Northstra does not prescribe, compound, dispense, or sell medications, and does not provide medical care or treatment.

All prescribing and clinical decisions remain the sole responsibility of licensed practitioners exercising their independent professional judgment. Pharmacies, outsourcing facilities, research sites, and other organizations referenced on the Site or introduced by Northstra are independent businesses that are solely responsible for their products, services, licensure, and regulatory compliance. A reference to or introduction of any such organization is not an endorsement, warranty, or guarantee of its products or services.

05Advisory services

Northstra is not a broker-dealer, investment adviser, or law firm, and does not effect securities transactions. Decisions regarding any acquisition, sale, investment, or other transaction rest solely with the parties to that transaction and their licensed advisers.

06Intellectual property

The Site and its content, including text, design, graphics, photography, video, and the Northstra, Northstra Health, and Northstra Studio names and marks, are owned by Northstra or its clients and licensors and are protected by copyright, trademark, and other laws.

Subject to these Terms, you may view the Site for your personal or internal business purposes. You may not copy, download for reuse, reproduce, modify, distribute, publicly display, or create derivative works from any Site content, including portfolio photography and video, and you may not use any Site content to train, develop, or improve any machine learning or artificial intelligence model, without our prior written permission.

07Third-party names and marks

Client names and logos displayed on the Site are the trademarks of their respective owners. They appear to identify organizations Northstra has worked with, and their display does not imply that those organizations endorse Northstra or are otherwise affiliated with Northstra beyond that work.

08Acceptable use

You agree not to:

1. use the Site in violation of any applicable law or regulation;
2. scrape, harvest, or collect content or information from the Site by automated means;
3. interfere with or disrupt the security, integrity, or performance of the Site;
4. transmit any virus, malware, or other harmful code;
5. impersonate any person or misrepresent your affiliation with any person or organization; or
6. frame or mirror any part of the Site without our prior written permission.

09Information you send us

You represent that you have the right to share any information you send to us. Please do not send confidential information belonging to third parties, or any health information about an individual, through the Site or by email. Unless we have agreed otherwise in writing, we are not obligated to treat unsolicited ideas or materials as confidential.

10Third-party websites

The Site may link to websites and services operated by third parties. Those links are provided for convenience only. We do not control and are not responsible for third-party websites, their content, or their practices.

11Disclaimer of warranties

The Site and its content are provided “as is” and “as available.” To the fullest extent permitted by law, Northstra disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and makes no warranty that the Site will be uninterrupted, error-free, or free of harmful components.

12Limitation of liability

To the fullest extent permitted by law, Northstra and its members, managers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Site or these Terms, even if advised of the possibility of such damages. Northstra’s aggregate liability for all claims arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars ($100). Liability arising from an engagement is governed exclusively by the written agreement for that engagement.

13Indemnification

You agree to indemnify and hold harmless Northstra and its members, managers, employees, and contractors from any claims, losses, liabilities, and expenses, including reasonable attorneys’ fees, arising out of your misuse of the Site or your violation of these Terms.

14Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. The state and federal courts located in Dallas County, Texas have exclusive jurisdiction over any dispute arising out of or relating to the Site or these Terms, and you consent to the personal jurisdiction of those courts.

15Changes

We may modify the Site or these Terms at any time. Updated Terms take effect when posted on this page with a revised effective date. Your continued use of the Site after that date constitutes acceptance of the updated Terms.

16General

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy, are the entire agreement between you and Northstra regarding the Site. Section headings are for convenience only.
